Terms of Service

1. Acceptance of terms
By accessing this website or using any GenieApps product (Facilit8, AssetPro, Genie) or service (consulting, solar), you agree to these terms. If you're using our services on behalf of an organisation, you confirm you have authority to bind that organisation.
2. Services described
GenieApps provides enterprise software products, technology consulting services, and solar power design, installation and maintenance services, each governed additionally by the specific order form, statement of work, or subscription agreement executed for that engagement.
3. Accounts & product use
Product customers are responsible for maintaining the confidentiality of account credentials and for all activity under their account, and agree to use our products only for lawful business purposes consistent with the applicable subscription agreement.
4. Fees & payment
Fees for products, consulting engagements and solar projects are set out in the applicable order form, proposal or statement of work. Unless otherwise agreed in writing, invoices are due within 30 days of issue.
5. Intellectual property
GenieApps retains all rights to its products, underlying software, and consulting methodologies. Customer data entered into our products remains the customer's property. Deliverables explicitly commissioned under a signed statement of work are governed by the IP terms in that document.
6. Solar installations
Solar design, installation and EPC services are subject to a separate installation agreement covering site access, permitting responsibilities, warranty terms and maintenance scope, which takes precedence over these general terms for matters it addresses.
7. Warranties & disclaimers
We warrant that services will be performed with reasonable skill and care. Except as expressly stated here or in an applicable order form, our products and services are provided "as is" to the extent permitted by law.
8. Limitation of liability
To the extent permitted by applicable law, GenieApps' aggregate liability arising from these terms or any order form is limited to the fees paid for the relevant service in the twelve months preceding the claim, except for liability that cannot be limited by law.
9. Termination
Either party may terminate a subscription or engagement per the notice period specified in the applicable order form or statement of work. Sections intended to survive termination (including IP, confidentiality and limitation of liability) remain in effect.
10. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless a signed order form specifies otherwise for a particular engagement.
11. Changes to these terms
We may update these terms from time to time; material changes will be reflected by an updated "last revised" date. Continued use of our website or products after changes take effect constitutes acceptance.
